Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cocos Platform ("the Service"), operated by LENZ FINLAND IN LATAM ("Lenz Latam", "we", "us"). By using the Service you agree to these Terms.

1. The Service

Cocos is an enterprise AI operating system that runs business departments via specialized agents (the "Cocos"). The Service includes the public website at cocosagents.com and the application at app.cocosagents.com.

2. Eligibility

You must be at least 18 years old and legally able to enter binding contracts. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

• You are responsible for keeping your credentials secure.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorized access at security@cocosagents.com.

4. Acceptable Use

You agree not to:

• Use the Service to violate any law or regulation.
• Send spam, conduct phishing, distribute malware, or harass others.
• Reverse-engineer, decompile, or copy the Service except as permitted by law.
• Bypass rate limits, security controls, or use the Service to attack third parties.
• Generate content that infringes intellectual property, defames, or harms minors.
• Use the Service to make medical, legal, or financial decisions without qualified human review.

5. Connected Accounts

When you connect external services (Google, LinkedIn, Meta, etc.) via OAuth, you authorize Cocos to act on your behalf within the granted scopes. You may revoke this authorization at any time from your account settings or directly with the provider.

6. AI-Generated Output

The Service uses large language models. Output may be inaccurate, biased, or unsuitable for your context. You are responsible for reviewing output before publishing or acting on it. Do not rely on the Service for decisions where human judgment is required.

7. Customer Content

You retain ownership of the content you submit ("Customer Content"). You grant Lenz Latam a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Content as necessary to provide the Service. We do not use Customer Content to train foundation models without your explicit consent.

8. Intellectual Property

The Service, including all software, models, designs, trademarks, and documentation, is owned by Lenz Latam and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms and your subscription plan.

9. Subscriptions and Payments

• Subscriptions renew automatically unless cancelled before the end of the current billing period.
• Fees are billed in advance and are non-refundable except where required by law.
• We may change pricing with at least 30 days' notice.
• Failure to pay may result in suspension or termination of the Service.

10. Termination

You may cancel your account at any time. We may suspend or terminate the Service immediately if you breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other users. Upon termination, you will be able to export your Customer Content for 30 days.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

12. Limitation of Liability

To the maximum extent permitted by law, Lenz Latam's total liability under these Terms is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.

13. Indemnification

You agree to indemnify and hold harmless Lenz Latam from claims arising out of: (a) your breach of these Terms; (b) your Customer Content; (c) your use of the Service in violation of law or third-party rights.

14. Governing Law

These Terms are governed by the laws of Mexico. Any dispute will be submitted to the competent courts of Mexico City, Mexico, waiving any other jurisdiction.

15. Changes to These Terms

We may update these Terms. Material changes will be notified via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
